Terms of Service

• 1.

  Introduction

  These Terms of Service ("Terms") govern your access to and use of the services, including our website (www.trialo.com), software, and products (collectively, the "Services") provided by TRIALO PTE. LTD. (Company Registration No. 202503633N) with its registered office at 540 SIMS AVENUE, #03-05, SIMS AVENUE CENTRE, SINGAPORE 387603 ("Trialo", "we", "us", or "our"). By accessing or using our Services, or by clicking a button or checking a box marked "I Agree" (or similar), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

• 2.

  Services

  • 2.1.

    License Grant

    Subject to these Terms and your compliance with them, Trialo grants you a non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during the subscription period.

  • 2.2.

    Free Trial

    If you register for a free trial of our Services, you agree to these Terms for the duration of the trial period. Trialo reserves the right to determine eligibility for free trials and may limit or withdraw a free trial at any time without prior notice.

  • 2.3.

    Authorized Users

    You are responsible for all activities conducted under your user accounts. You shall:

    • Maintain the confidentiality of all login credentials
    • Promptly notify Trialo of any unauthorized use
    • Ensure each authorized user complies with these Terms
    • Be liable for all acts and omissions of your authorized users

  • 2.4.

    AI Chat Feature

    • 2.4.1.

      Usage Limitations

      The Services include an artificial intelligence chat feature ("AI Chat Feature"). Use of the AI Chat Feature is subject to the following usage limitations per account per day:

      • A maximum of 100,000 output tokens; and
      • A maximum of 400,000 input tokens.

    • 2.4.2.

      Measurement and Enforcement

      For the purposes of Section 2.4.1:

      • "Tokens" refer to the units of text processing used by the AI Chat Feature, with each token generally corresponding to approximately 4 characters of text.
      • Trialo reserves the right to monitor usage and enforce these limitations through technical and other means.

    • 2.4.3.

      Exceeding Limitations

      If you exceed any of the usage limitations set forth in Section 2.4.1:

      • Trialo may temporarily suspend your access to the AI Chat Feature until the next calendar day;
      • Trialo may impose additional charges for usage exceeding these limitations, as specified in your subscription plan; and/or
      • Trialo may contact you to discuss upgrading your subscription plan.

    • 2.4.4.

      Prohibited Usage

      In addition to the restrictions set forth in Section 3, you shall not use the AI Chat Feature to:

      • Attempt to circumvent the usage limitations specified in Section 2.4.1;
      • Engage in any activity that places excessive load on our systems; or
      • Create derivative databases from information obtained through the AI Chat Feature.

  • 2.5.

    Data Access Limitations

    • 2.5.1.

      Records Access Limit

      The Services allow access to certain records and data. You are limited to accessing a maximum of 1,000 records per account per day.

    • 2.5.2.

      Definition and Measurement

      For the purposes of Section 2.5.1:

      • "Records" refer to any individual data entries, documents, or files accessed through the Services.
      • Trialo reserves the right to monitor access and enforce this limitation through technical and other means.

    • 2.5.3.

      Exceeding Limitations

      If you exceed the records access limitation set forth in Section 2.5.1:

      • Trialo may temporarily suspend your access to the records until the next calendar day;
      • Trialo may impose additional charges for access exceeding this limitation, as specified in your subscription plan; and/or
      • Trialo may contact you to discuss upgrading your subscription plan.

• 3.

  Restrictions

  • 3.1.

    General restrictions

    You shall not, and shall not permit any authorized user to:

    • Use the Services to create, develop, or enhance any competing product or service
    • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
    • Copy, modify, create derivative works, or redistribute any part of the Services
    • Remove any proprietary notices or labels from the Services
    • Use the Services for any illegal or unauthorized purpose
    • Access the Services through automated means or interfere with its proper working

  • 3.2.

    Commercial Restrictions

    The Services may not be used to:

    • Build or support commercial products or services that compete with Trialo
    • Resell, sublicense, or distribute the Services
    • Create derivative databases or datasets from the Services

  • 3.3.

    AI Chat Feature Restrictions

    In addition to the restrictions set forth in Sections 3.1 and 3.2, the following restrictions apply specifically to the AI Chat Feature:

    • 3.3.1.

      Prohibited Usage

      You shall not develop or use any automated means, scripts, bots, or other technologies to:

      • Generate input for or extract output from the AI Chat Feature;
      • Circumvent the usage limitations specified in Section 2.4.1; or
      • Otherwise use the AI Chat Feature in a manner inconsistent with normal human usage patterns.

    • 3.3.2.

      Unauthorized Access

      You shall not share access to the AI Chat Feature with unauthorized users or entities.

    • 3.3.3.

      Reverse Engineering

      You shall not attempt to reverse engineer or determine the algorithms, methods, or processes by which the AI Chat Feature generates responses.

  • 3.4.

    Data Access Restrictions

    In addition to the restrictions set forth in Sections 3.1 and 3.2, the following restrictions apply specifically to data access:

    • 3.4.1.

      Systematic Extraction Prohibition

      You shall not engage in any form of systematic extraction, scraping, or harvesting of data.

    • 3.4.2.

      Automated Tools Prohibition

      You shall not develop or use any automated means, scripts, bots, or other technologies to:

      • Extract or copy data from the Services;
      • Circumvent the records access limitation specified in Section 2.5.1; or
      • Otherwise access data in a manner inconsistent with normal human usage patterns.

    • 3.4.3.

      Derivative Databases Prohibition

      You shall not create derivative databases from information obtained through the Services.

• 4.

  Intellectual Property

  • 4.1.

    Ownership

    Trialo retains all right, title, and interest in and to the Services, including all intellectual property rights. No rights are granted to you other than as expressly set forth herein.

  • 4.2.

    Feedback

    If you provide any feedback or suggestions regarding the Services, you hereby grant Trialo an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such feedback for any purpose.

  • 4.3.

    Marketing Rights

    You grant Trialo the right to use your name, logo, and trademarks in our promotional materials, website, and public communications. If you wish to opt out of such usage, you must notify us in writing.

• 5.

  Data and privacy

  • 5.1.

    Data Processing

    Your use of the Services is subject to our Privacy Policy, which is incorporated by reference into these Terms.

  • 5.2.

    Security

    While we implement reasonable security measures, you are responsible for maintaining the security of your account credentials and any data you input into the Services.

• 6.

  Payment terms

  • 6.1.

    Fees

    You agree to pay all fees specified in your subscription plan. All fees are non-refundable unless expressly stated otherwise.

  • 6.2.

    Taxes

    All fees are exclusive of taxes. You are responsible for paying all applicable taxes, levies, or duties.

• 7.

  Term and termination

  • 7.1.

    Term

    These Terms remain in effect until terminated by either party in accordance with this section.

  • 7.2.

    Termination Rights

    Trialo may terminate or suspend your access to the Services:

    • For any breach of these Terms
    • If we reasonably believe you are using the Services in a way that could cause us harm
    • If we detect abuse or misuse of the Services
    • For any reason upon 30 days' written notice

  • 7.3.

    Effect of Termination

    Upon termination:

    • All licenses granted herein will immediately terminate
    • You must cease all use of the Services
    • You must pay any outstanding fees
    • You must destroy any downloaded or copied materials

  • 7.4.

    Termination for Misuse

    Notwithstanding Section 7.2, Trialo may immediately terminate or suspend your access to the Services, without prior notice, if we reasonably determine that you have:

    • Deliberately or repeatedly exceeded the usage limitations specified in Sections 2.4.1 or 2.5.1;
    • Used the AI Chat Feature in violation of the restrictions set forth in Section 3.3;
    • Accessed data in violation of the restrictions set forth in Section 3.4; or
    • Engaged in any form of systematic extraction, scraping, or harvesting of data.

• 8.

  Warranties and Disclaimers

  • 8.1.

    Limited Warranty

    Trialo warrants that it will provide the Services using reasonable skill and care.

  • 8.2.

    Disclaimer

    EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TRIALO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• 9.

  Limitation of Liability

  • 9.1.

    Liability Disclaimer

    IN NO EVENT WILL TRIALO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

  • 9.2.

    Liability Cap

    TRIALO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU HAVE PAID TO TRIALO IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT.

• 10.

  Indemnification

  You agree to indemnify and hold harmless Trialo and its officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

• 11.

  General Provisions

  • 11.1.

    Governing Law

    These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

  • 11.2.

    Dispute Resolution

    Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

  • 11.3.

    Amendments

    Trialo reserves the right to modify these Terms at any time. We will provide notice of any material changes through the Services or by other means.

  • 11.4.

    Assignment

    You may not assign or transfer these Terms without Trialo's prior written consent. Trialo may assign these Terms without restriction.

  • 11.5.

    Severability

    If any provision of these Terms is found to be unenforceable, that provision will be modified to the extent necessary to make it enforceable while preserving its intent, and the remaining provisions will remain in full force and effect.

  • 11.6.

    Force Majeure

    Trialo shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

  • 11.7.

    Changes to Usage Limitations

    Trialo reserves the right to modify the usage limitations specified in Sections 2.4.1 and 2.5.1 at any time by providing notice through the Services or by other means. Your continued use of the Services after such modifications become effective constitutes your acceptance of the modified usage limitations.
